Scout Terms of Service
Effective Date: June 12, 2026
These Terms of Service ("Terms") govern your access to and use of the Scout mobile application, website, and related services (collectively, the "Platform"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not create an account or access the Platform in any way.
1. Nature of the Platform (Important Disclosure)
Scout is a social and educational platform that allows users to share investing activity, opinions, and strategies for discussion purposes only. Scout also provides a visual interface to blockchain decentralized exchanges (DEXs) and related tools but does not endorse any cryptocurrencies.
- Scout is NOT a registered investment adviser, broker-dealer, or exchange.
- Nothing on the Platform constitutes a recommendation, solicitation, or offer to buy or sell securities or digital assets.
- All content is for informational and educational purposes only.
- You are solely responsible for your investment and trading decisions.
2. Eligibility
You must:
- Be at least 18 years old.
- Have the legal capacity to enter into a binding agreement.
- Comply with all applicable laws and regulations.
Scout may suspend or terminate accounts that do not meet these requirements. Scout does not verify age at account creation; by registering, you represent that you meet these requirements.
3. Account Registration and Security
You agree to:
- Provide accurate and complete information.
- Maintain the security of your login credentials.
- Notify Scout immediately of unauthorized access at support@scoutfinance.io.
- Request account deletion by contacting support@scoutfinance.io. Deletion is subject to applicable legal retention obligations.
You are responsible for all activity that occurs under your account.
4. User Content, Social Posting, and Conduct
4.1 User-Generated Content
Users may post content including text, images, commentary, opinions, and trade-related activity for stocks, crypto assets, or digital assets ("User Content").
- You retain ownership of your User Content.
- By posting, you grant Scout a non-exclusive, worldwide, royalty-free license to host, display, distribute, label, moderate, rank, down-rank, or remove such content solely for operating, improving, and protecting the Platform.
- Scout may be required to respond to DMCA takedown notices for infringing User Content. To submit a copyright infringement claim, contact support@scoutfinance.io with: (i) identification of the copyrighted work; (ii) identification of the infringing content; (iii) your contact information; and (iv) a statement of good-faith belief and accuracy under penalty of perjury.
4.2 Social Trade Posts and Activity Sharing
- Social posts reflecting buy/sell activity are self-reported or derived from user-permitted data.
- Posts are for discussion, transparency, and educational purposes only.
- Trade posts do not include full portfolio context, risk exposure, or financial circumstances.
- Trade posts may be delayed, aggregated, anonymized, labeled, or modified for privacy, safety, and compliance purposes.
4.3 No Signals, No Advice, No Coordination
Users may not use social posts or messaging to:
- Provide individualized investment advice.
- Issue trading signals, alerts, or instructions.
- Guarantee returns or outcomes.
- Encourage copying, mirroring, or coordinated trading activity.
Scout may restrict, label, or remove content that implies certainty, guarantees, or directives.
4.4 Accuracy and Responsibility
You are solely responsible for the accuracy and completeness of your User Content. Scout does not verify, audit, or endorse User Content.
4.5 Anti-Manipulation and Platform Integrity
You agree not to:
- Engage in market manipulation, pump-and-dump schemes, or coordinated trading.
- Artificially inflate interest in any asset.
- Misrepresent trades, positions, or performance.
- Use automated or deceptive practices to influence other users.
Scout may monitor activity, apply warnings or labels, limit visibility, restrict features, or suspend accounts to protect Platform integrity.
5. User Conduct
Users agree not to:
- Provide investment advice or represent themselves as a financial professional.
- Post false, misleading, or deceptive information.
- Promote guaranteed returns or performance claims.
- Engage in market manipulation, fraud, or illegal activity.
- Use the Platform to copy, mirror, or automate trading.
- Harass, impersonate, or misuse other users' data.
Scout may remove content or suspend accounts at its discretion.
6. Leaderboard and Performance Rankings
6.1 Nature of Leaderboard Data
Scout may display leaderboards, rankings, or performance comparisons based on user-reported or user-permitted data. Leaderboard standings are provided for educational purposes only and do not constitute investment advice, endorsement, or a representation of any user's actual financial performance.
6.2 Accuracy and Completeness
Leaderboard data may be incomplete, delayed, aggregated, anonymized, or adjusted for privacy and compliance purposes. Scout does not verify, audit, or guarantee the accuracy of any data used to calculate rankings. Users may self-report or connect data that Scout cannot independently confirm.
6.3 No Reliance
Leaderboard rankings should not be used as a basis for any investment decision. Past performance reflected in rankings does not guarantee future results. Scout expressly disclaims any liability for losses or decisions made in reliance on leaderboard standings.
6.4 Modification or Removal
Scout reserves the right to modify, suspend, or remove the leaderboard feature at any time without notice or liability.
7. Wallet Connections
7.1 Connections
- Connections are read-only; Scout does not execute trades.
- Scout does not hold, manage, or control accounts, wallets, or assets.
- Scout is not responsible for errors, delays, or omissions in wallet data via third-party APIs.
- Any analytics or insights derived from connected wallets are educational only.
7.2 Wallet Generation and Non-Custodial Design
- Wallets are non-custodial; Scout does not hold private keys, seed phrases, or control assets.
- Users are responsible for safeguarding wallet credentials.
- Scout does not act as a money transmitter, bank, or custodian.
- Transactions are executed via third-party wallets or services.
- Users are responsible for verifying transactions.
- Scout disclaims all liability for losses, errors, or disputes arising from wallet or DEX activity, including losses arising from cyberattacks or smart contract exploits.
7.3 Peer-to-Peer Transfers
- Users may send or receive funds via third-party wallets or services.
- Scout does not facilitate, control, or execute such transfers.
- Users are responsible for confirming addresses and transaction details.
- Scout is not liable for losses, disputes, or unauthorized transfers.
7.4 Decentralized Exchange (DEX) Interactions
- Scout may display or facilitate DEX interactions for informational purposes only.
- Scout does not operate, control, execute, route, or settle transactions.
- Pricing, liquidity, execution, or outcomes are not guaranteed.
- All on-chain transactions are irreversible and executed directly by the user.
7.5 Protection
- Scout is a platform provider only; it does not custody funds, provide investment advice, or make guarantees.
- Scout is not responsible for losses from:
- User-generated content or social activity
- Peer-to-peer transactions
- Wallet or DEX activity
- Membership or Group chat access
- Third-party API data (Helius, Magic Wallet, Jupiter, CoinGecko, Financial Modeling Prep, Stripe)
- Users agree to indemnify Scout for claims related to Platform use.
- Scout may modify, suspend, or terminate features to protect users or the Platform.
8. Fiat-to-Crypto On-Ramp and DEX Trading Features
Scout may allow users to purchase cryptocurrency using fiat currency through third-party payment processors and on-ramp providers (such as Stripe or its partners) and to connect such purchased assets to blockchain wallets.
By using this feature, you acknowledge and agree that:
8.1 Third-Party On-Ramp Providers
- All fiat-to-crypto purchases are processed by third-party providers.
- Scout does not process payments, perform identity verification, custody funds, or execute purchases.
- Your use of the on-ramp service is subject to the third party's terms, policies, and compliance requirements.
8.2 Asset Availability
- Cryptocurrencies available via the on-ramp are determined solely by a third-party provider.
- Scout does not control, endorse, or guarantee the availability of any digital asset.
8.3 DEX Swaps
- After acquiring cryptocurrency (e.g., SOL), users may swap assets for other tokens using DEXs.
- All swaps are executed directly by you on third-party blockchain protocols.
- Scout does not operate, control, or execute any swap, routing, or settlement of digital asset transactions.
- Your use of any third-party DEX or protocol is subject to that service's terms, policies, and compliance requirements.
8.4 No Endorsement or Recommendation
- Scout does not endorse, recommend, or promote any cryptocurrency, token, or digital asset, including meme tokens.
- Access to tokens is solely user-directed through third-party protocols.
8.5 User Responsibility and Risk
- Blockchain transactions are irreversible and may result in permanent loss of funds.
- Meme tokens and low-liquidity assets are highly volatile and may be subject to manipulation, slippage, or complete loss of value.
- Users are solely responsible for verifying transaction details, token contracts, wallet addresses, and swap parameters.
8.6 No Custody and No Money Transmission
- Scout does not custody digital assets, hold user funds, or control private keys.
- Scout does not act as a money transmitter, bank, or financial institution.
- All transactions occur directly between you and third-party services or blockchain networks.
8.7 Limitation of Liability
Scout is not responsible for losses arising from:
- Fiat-to-crypto purchases
- Wallet transfers
- DEX swaps
- Token pricing or liquidity
- Smart contract failures
- User error or misdirection of funds
You assume all risks associated with digital asset transactions.
9. Meme Coin and High-Risk Token Disclaimer
- Meme coins and other low-market-cap or community-driven digital tokens are highly speculative, volatile, and risky.
- Scout does not endorse, promote, sponsor, or recommend any meme coin or digital token.
- Meme coins may suffer from limited liquidity, high slippage, price manipulation, rug pulls, smart contract vulnerabilities, or sudden trading halts.
- All blockchain transactions are irreversible. Scout cannot reverse, recover, or refund transactions.
- Users are solely responsible for verifying token contract addresses, understanding token mechanics and risks, confirming swap parameters, and determining whether a token is appropriate for their financial situation.
- Scout makes no representations or warranties regarding value, legitimacy, security, or future price performance.
- By interacting with meme coins or similar assets, you expressly assume all risks of loss, including total and permanent loss of funds.
- Scout does not execute, custody, or settle any transactions on behalf of users.
- Users are solely responsible for initiating, authorizing, and confirming all transactions.
- Scout does not act as a counterparty, custodian, or intermediary in any blockchain, DEX, or peer-to-peer transaction.
10. AI-Generated Content and Rankings
- AI-generated reports, rankings, and analytics are informational and educational only.
- Outputs may be inaccurate, incomplete, or outdated.
- Users remain responsible for independently verifying all information.
- Scout disclaims liability for reliance on AI-generated content.
11. Paid Access on the Platform
11.1 Scout Monthly Memberships
- Billed monthly via your payment method; auto-renews each month until canceled.
- You may cancel at any time. Cancellation stops future renewals; it does not retroactively refund the current billing period, and you retain access until the end of the period you have already paid for.
- Except where required by applicable law or by the app-store provider's policies, all payments are non-refundable, and Scout does not provide prorated or partial refunds for unused time.
- Where in-app purchases are processed through Apple In-App Purchase or Google Play Billing, billing, cancellation, and refunds are managed by the applicable provider under its own terms, and you may need to manage or cancel your subscription through your Apple or Google account settings.
- Scout provides access only; it does not provide investment advice or manage funds.
- Where required by Apple App Store or Google Play Store policies, in-app purchases will be processed through the applicable platform billing system (Apple In-App Purchase or Google Play Billing). Scout complies with all applicable platform payment policies.
11.2 Creator-Managed Gated Group Chats
- Creators are independent users, not Scout employees or agents.
- Billed monthly via your payment method; auto-renews unless canceled.
- Creators may not provide personalized investment advice, sell trading signals, guarantee outcomes, or coordinate trades.
- Scout is not responsible for creator content, payments, or disputes.
12. Disclaimers and No Warranty
- Scout does not custody funds, digital assets, or securities, and does not act as a fiduciary, agent, broker, dealer, or investment adviser.
- Automated tools and AI-generated content are educational only. Outputs may be inaccurate or incomplete.
- THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. SCOUT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Scout shall not be liable for:
- Investment losses or lost profits
- Use of third-party services, APIs, or on-ramp providers (including Stripe, Jupiter, Helius, Magic Wallet, CoinGecko, Financial Modeling Prep)
- Blockchain network issues, protocol failures, smart contract bugs, or outages
- Wallet errors, misdirected transactions, or peer-to-peer transfers
- Swaps, DEX trades, or token trading, including meme tokens and low-liquidity assets
- Volatility, slippage, price manipulation, or loss of value of any digital asset
- Any reliance on AI-generated content, rankings, analytics, or User Content
- Regulatory, legal, or tax compliance obligations
- Irreversible transactions executed on blockchain networks
- Any losses arising from Scout's non-custodial design; Scout does not hold user funds or control private keys
- Cyberattacks, smart contract exploits, or force majeure events
IN NO EVENT SHALL SCOUT'S AGGREGATE LIABILITY EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID TO SCOUT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (ii) ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
14. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
14.1 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court, except as provided below.
14.2 Class Action Waiver
YOU AND SCOUT EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION. You may only resolve disputes with Scout on an individual basis.
14.3 Exceptions
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.
14.4 Opt-Out
You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@scoutfinance.io with "Arbitration Opt-Out" in the subject line and your name and account information.
15. Indemnification
Users agree to indemnify, defend, and hold harmless Scout and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from:
- Their use of the Platform
- Their User Content
- Their violation of these Terms
- Their violation of any third-party right, including any intellectual property or privacy right
16. Privacy
Your use of Scout is governed by the Scout Privacy Policy, available at scoutfinance.io/privacy and incorporated herein by reference.
17. Third-Party Services and APIs
Scout may integrate with the following third-party services. Your use of these services is subject to their respective terms and privacy policies:
- Helius API — https://www.helius.dev/terms
- Magic Wallet API — https://magic.link/legal/terms-of-service
- Jupiter API — https://jup.ag/terms
- CoinGecko API — https://www.coingecko.com/en/terms
- Financial Modeling Prep API — https://site.financialmodelingprep.com/terms-of-service
- Stripe — https://stripe.com/legal/ssa
- Third-party decentralized exchanges
Scout is not responsible for data accuracy, service availability, pricing, slippage, execution outcomes, smart contract behavior, protocol upgrades, forks, or outages of any third-party service.
18. Intellectual Property
All Platform content, features, design, software, and technology (excluding User Content) are owned by or licensed to Scout and protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any Platform content without Scout's express written permission. The Scout name, logo, and marks are proprietary and may not be used without permission.
19. Termination
Scout may suspend or terminate your access at any time for violations of these Terms or applicable law. Upon termination, your right to use the Platform ceases immediately. Sections 13, 14, 15, and 18 survive termination.
20. Governing Law and Venue
- These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
- To the extent a dispute is not subject to arbitration under Section 14, any legal action must be brought exclusively in state or federal courts located in Delaware, and you consent to personal jurisdiction there.
21. Taxes and Compliance
- Users are solely responsible for any and all tax obligations arising from their use of the Platform, including digital asset transactions, swaps, or gains.
- Users must comply with all applicable laws, regulations, and reporting requirements in their jurisdiction.
- Scout is not responsible for tax reporting, advice, or filing on behalf of users.
22. Jurisdictional Limitations / Third-Party Compliance
- Certain features, including fiat-to-crypto on-ramps and DEX interactions, may be subject to legal or regulatory restrictions in some jurisdictions.
- By using these features, you acknowledge that you are solely responsible for ensuring your use is legal and compliant with all applicable local laws and third-party terms.
- Scout does not review, monitor, or enforce jurisdictional compliance.
- Scout reserves the right to restrict, suspend, or disable access to any feature to mitigate legal or regulatory risk.
23. Regulatory and Legal Status
- Scout is a technology platform and does not act as a financial institution, money transmitter, bank, broker, dealer, or investment adviser.
- Scout does not hold, manage, or transmit funds or digital assets on behalf of users.
- All transactions, wallet transfers, fiat-to-crypto purchases, and DEX swaps are executed directly by users through third-party protocols.
- Scout does not provide regulatory approvals, endorsements, or guarantees for any digital asset or transaction.
24. Force Majeure
Scout is not liable for delays, interruptions, or failures caused by events beyond its reasonable control, including natural disasters, cyberattacks, smart contract exploits, network failures, governmental actions, or acts of God. Scout may temporarily suspend or restrict access to the Platform in such events without liability.
25. Changes to Terms
- Scout may update, modify, or revise these Terms at any time.
- Users will be notified of material changes via the Platform, email, or other communications at least 7 days before the changes take effect, where reasonably practicable.
- Continued use of the Platform after changes constitutes acceptance of the updated Terms.
26. User Acknowledgment
By using the Platform, you acknowledge and agree that you:
- Have read, understood, and accepted all sections of these Terms.
- Understand and assume all risks of investing, trading, or interacting with digital assets.
- Are solely responsible for compliance with local laws, regulations, and tax obligations.
27. OFAC / Sanctions Compliance
By using the Platform, you represent and warrant that: (i) you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive U.S. government sanctions, including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine; (ii) you are not listed on, and are not owned or controlled by any person or entity listed on, any U.S. government sanctions list, including the Office of Foreign Assets Control (OFAC) Specially Designated Nationals and Blocked Persons List, the U.S. Department of Commerce Denied Persons List, or any other applicable restricted-party list; and (iii) you will not use the Platform, directly or indirectly, in violation of any applicable U.S. export control or economic sanctions laws and regulations. Scout reserves the right to restrict, suspend, or terminate access to any user who is or becomes the subject of sanctions restrictions. Users are solely responsible for ensuring their use of the Platform complies with all applicable sanctions laws.
28. Apple and Google App Store Compliance
If you access or download the Platform through the Apple App Store, you acknowledge and agree to the following, which is required by Apple: (i) these Terms are entered into solely between you and Scout, and not with Apple, Inc. ("Apple"); (ii) Apple is not responsible for the Platform or its content; (iii) Apple has no obligation whatsoever to provide any maintenance or support services with respect to the Platform; (iv) in the event of any failure of the Platform to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price for the Platform, if applicable, and to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Platform; (v) Apple is not responsible for addressing any claims by you or any third party relating to the Platform or your possession and/or use of the Platform, including but not limited to product liability claims, any claim that the Platform fails to conform to any applicable legal or regulatory requirement, or claims arising under consumer protection or similar legislation; (vi) in the event of any third-party claim that the Platform or your possession and use of the Platform infringes a third party's intellectual property rights, Apple will not be responsible for the investigation, defense, settlement, or discharge of any such claim; (vii) you represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties; and (viii) Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof. If you access or download the Platform through the Google Play Store, you acknowledge that Google LLC has no responsibility for the Platform and that your use is subject to the Google Play Terms of Service in addition to these Terms.
29. Account Inactivity
If your account has been inactive for a period of twenty-four (24) consecutive months, Scout may, in its discretion, send you a notice of impending deactivation to the email address associated with your account. If you do not take steps to reactivate your account within thirty (30) days of such notice, Scout may deactivate or delete your account and any associated data, subject to applicable legal retention obligations described in the Privacy Policy. Scout is not responsible for any loss of content, data, or access resulting from account deactivation due to inactivity. Accounts with active paid subscriptions will not be deactivated under this provision while a subscription remains current.
30. Severability, Entire Agreement, and Waiver
Severability. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
Entire Agreement. These Terms, together with the Scout Privacy Policy and any other policies or agreements expressly incorporated herein by reference, constitute the entire agreement between you and Scout with respect to the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Platform.
Waiver. No failure or delay by Scout in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege. No waiver of any provision of these Terms shall be effective unless made in writing and signed by Scout.
